Terms & Conditions

1. All quotes provided are in Canadian Funds unless expressly stated otherwise.

2. Quotation is valid for 90 days from the date of request, unless otherwise expressly stated.

3. Triton’s price is subject to change if weights are different from those stated in the original quotation. The price may also be subject to change should any of the nominal dimensions vary from those stated in the original quotation.

4. If T&E Bond is required, it will be charged at an extra cost of $150 CAD per bond.

5. Quoted prices do not include any applicable taxes, taxes will be charged appropriately as per the legal governing jurisdiction.

6. Rates provided include all necessary permits, pilot cars and associated fuel surcharge.

7. Terms: Net 30 Days from invoice date. Interest at 2% per month (24% per annum) charged on all overdue accounts.

8. In the event that Triton is delayed in the performance of the works due to the fault of the purchaser, its’ employees, servants, agents or contractors of the purchaser other than Triton, Triton shall be entitled to be reimbursed for any costs which it incurs as a result of any such delay. Time and material rates for labour and equipment shall apply.

9. Triton will make every reasonable effort to make delivery as requested, but the estimated pickup or delivery time is not guaranteed. Triton shall not be liable for any damages, whether direct, indirect or consequential, as a result of delays in estimated pickup or delivery

10. The rates quoted by Triton are based on limited liability for loss or damage to cargo. Triton’s liability for cargo loss or damage shall not exceed CAD $2.00 per pound (CAD $4.41 per kilogram) computed on the total weight of the shipment up to a maximum of CAD $250,000 per shipment (the “Released Value”). Any declaration of value by the Customer in excess of the Released Value shall be null and void unless the declared value and an excess valuation charge for such declaration has been agreed upon in writing by Triton and paid at least 24 hours prior to loading. A declaration of value in excess of the Release Value on the bill of lading shall not constitute the requisite agreement for purposes of this provision. In no event shall Triton be liable for any consequential, incidental, punitive, or indirect damages (including, without limitation, loss of revenue or profit, loss of production, loss of opportunity or use).

11. This quotation will be limited to the scope of work detailed herein and will be governed by the general terms and conditions set out in this quotation.

12. Loading and unloading is the responsibility of others. Triton’s equipment may require assistance with assembly and disassembly, if so, it is understood to be completed free of charge on site.

13. Prices are subject to purchaser providing Triton with access, ample room and suitable ground conditions to perform the work as outlined. Access shall include removal of any obstacles and/or utilities as required by Triton.

14. Subject to the availability of equipment at time of firm order.

15. Quotation is subject to permit approval from the required jurisdictions. All charges for changes in conditions to permits will be additional.

16. Shipping drawings must be provided showing centre of gravity, orientation of nozzles etc. Any estimates will assume centre of gravity to be centre of structure being loaded.

17. If loaded dimensions exceed 16’, or gross weight exceeds 200,000lbs, a minimum of 60 working days’ notice is required to obtain the proper permits. Super Load applications must be approved prior to loading.

18. It is understood that any and all pieces of equipment or material being transported or relocated by Triton do not contain hazardous materials.

19. Triton reserves the right to broker or subcontract loads as deemed, within its sole discretion, to be necessary and appropriate. Unless otherwise agreed in writing, these general terms and conditions shall apply to any brokered or subcontracted load.

20. Rates are not valid during seasonal road restrictions.

21. If an item, route or site inspection is required, it shall be charged as an additional cost to the quoted rate.

22. Triton’s price is based on four hours for loading and four hours unloading of equipment. Any demurrage accruing (through no fault of Triton’s) wherever the same shall be the responsibility of the purchaser.

23. Wire lifting, utilities, police escorts, sign crews, bridge surveys or engineering, if required, will be billed additionally at Triton’s cost, plus ten (10%) percent.

24. Tarping, wrapping, sealing or protection from any natural elements, road spray if required, will be billed additionally.

25. Any delays in transportation due to conditions outside of Triton’s control (road closures – weather – acts of god) may be subject to additional charges for personnel and equipment.

26. Any dispute arising from or in relation to these general terms and conditions are governed by, and interpreted and enforced in accordance with, the law of the Province of British Columbia and the law of Canada applicable in that province.
